Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the BuilderSolve website, mobile applications, and construction management platform (collectively, the "Service") operated by BuilderSolve, Inc. ("BuilderSolve," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, you may not use the Service.

2. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • Company administrators are responsible for managing user roles and access permissions within their organization.

3. Use of the Service

3.1 Permitted Use

You may use the Service for lawful business purposes related to construction project management, including estimating, scheduling, crew management, financial tracking, and client communication.

3.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code, spam, or harmful content
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use automated tools to scrape, crawl, or extract data from the Service beyond authorized API usage

4. Subscription & Billing

4.1 Plans & Pricing

The Service is offered on a subscription basis. Plan details, pricing, and features are listed on our website and may be updated from time to time. We will provide at least 30 days' notice of material pricing changes.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will begin unless you cancel before the trial expires. No charges will be made without your consent to a paid plan.

4.3 Payment

  • Fees are billed in advance on a monthly or annual basis as selected during subscription.
  • All fees are non-refundable except as required by law or as stated in our refund policy.
  • We reserve the right to suspend access for overdue accounts after a 14-day grace period and written notice.

5. Your Data

5.1 Ownership

You retain all rights, title, and interest in the data and content you submit to the Service ("Your Data"). BuilderSolve does not claim ownership of Your Data.

5.2 License

You grant BuilderSolve a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service. This license terminates when your account is closed and data is deleted.

5.3 Data Portability

You may export Your Data at any time through the Service's export features (CSV, PDF). Upon account termination, we will make Your Data available for export for 90 days before permanent deletion.

6. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by BuilderSolve and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

7. Third-Party Integrations

The Service may integrate with third-party services (e.g., QuickBooks, email providers). Your use of third-party integrations is subject to those services' terms and privacy policies. BuilderSolve is not responsible for third-party service availability, accuracy, or practices.

8. Uptime & Support

  • We target 99.9% uptime for the Service, excluding scheduled maintenance.
  • Scheduled maintenance windows will be communicated at least 48 hours in advance when possible.
  • Support is provided via email, live chat, and (for Enterprise plans) phone during business hours.

9. Limitation of Liability

To the maximum extent permitted by law:

  • BuilderSolve shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total aggregate liability under these Terms shall not exceed the fees you paid to BuilderSolve in the 12 months preceding the claim.
  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

10. Indemnification

You agree to indemnify and hold harmless BuilderSolve, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your access for material breach of these Terms, with notice where practicable.
  • Upon termination, your right to use the Service ceases. Data retention after termination is governed by our Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state of Delaware. You agree to waive any right to a jury trial or to participate in a class action.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14. Changes to These Terms

We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
